Welcome to Melt.ly ("Service", "we", "us", or "our"). By accessing or using our service, you agree to be bound by these Terms of Service ("Terms").

1. Service Description

Melt.ly is an AI-powered enrichment API that generates personalized icebreaker content based on LinkedIn profile data. The Service is designed for integration into business workflow automation tools.

2. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to use the Service
• One person or legal entity may not maintain more than one free account

3. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or its systems
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to generate spam, harassment, or misleading content
• Scrape or collect data from the Service using automated means beyond normal API usage
• Share your account credentials with others
• Resell or redistribute the Service without written permission

4. Credits and Billing

Credits System:

• One credit equals one icebreaker generation
• Subscription credits reset each billing cycle and do not roll over
• Pay-as-you-go (PAYG) credits never expire
• Credits are non-refundable once purchased. If a generation fails, the spent credit is automatically re-credited to your balance - this is a credit adjustment, not a payment refund
• New users receive 25 free credits upon signup

Payments:

• All fees are in USD unless otherwise stated
• Subscription fees are billed in advance on a monthly or annual basis
• Pay-as-you-go purchases are charged immediately
• We use Stripe for payment processing
• You authorize us to charge your payment method for all fees incurred

Refunds:

• Subscriptions may be cancelled at any time; no refunds for partial months
• PAYG credit purchases are final and non-refundable
• We may provide refunds at our sole discretion for technical issues

5. Subscription Terms

• Subscriptions automatically renew unless cancelled before the renewal date
• You can cancel your subscription at any time from the billing portal in your dashboard
• Cancellation takes effect at the end of the current billing period
• Upon cancellation, you retain access to subscription features until the period ends
• Unused subscription credits are forfeited upon cancellation

6. Service Availability

• We strive for 99% uptime but do not guarantee uninterrupted access
• We may modify, suspend, or discontinue any part of the Service with notice
• We are not liable for any losses due to service interruptions
• Scheduled maintenance will be communicated in advance when possible

7. Intellectual Property

• All content, features, and functionality of the Service are owned by Melt.ly
• You retain ownership of content you submit to the Service
• Generated icebreakers become your property upon creation
• You grant us a license to use submitted data solely to provide the Service
• Our name, logo, and branding are our trademarks and may not be used without permission

8. Data and Privacy

• We collect and process data as described in our Privacy Policy
• We use LinkedIn data in accordance with LinkedIn's terms and policies
• You are responsible for ensuring you have rights to any data you submit
• We implement reasonable security measures but cannot guarantee absolute security

9. API Usage

• API access is provided subject to rate limits based on your plan
• Abuse of API limits may result in temporary or permanent suspension
• We reserve the right to modify API endpoints and functionality with notice
• API documentation is provided as-is and may change

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR RESULTS ACHIEVED USING GENERATED CONTENT
• WE DO NOT GUARANTEE ANY SPECIFIC RESPONSE RATES OR BUSINESS OUTCOMES

11. Indemnification

You agree to indemnify and hold Melt.ly harmless from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit or generate using the Service

12. Termination

• We may terminate or suspend your account at any time for Terms violations
• You may terminate your account at any time by contacting us at [email protected]
• Upon termination, your right to access the Service immediately ceases
• We may retain data as required by law or our legitimate business interests

13. Changes to Terms

• We may modify these Terms at any time with notice
• Continued use of the Service after changes constitutes acceptance
• Material changes will be communicated via email or Service notification
• Your only recourse if you disagree with changes is to stop using the Service

14. Dispute Resolution

• These Terms are governed by the laws of the State of Delaware, United States
• Disputes will be resolved through binding arbitration, not court
• Arbitration will be conducted by a single arbitrator under the American Arbitration Association rules
• You waive any right to participate in class-action lawsuits

15. General Terms

• Entire Agreement: These Terms constitute the entire agreement between you and Melt.ly
• Severability: If any provision is unenforceable, the rest remains in effect
• No Waiver: Our failure to enforce any right doesn't waive that right
• Assignment: We may assign these Terms; you may not without our consent
• Force Majeure: We're not liable for delays due to circumstances beyond our control
